Online Digital Ads Terms and Conditions for Purchasing Ads in the Plezzel Portal
Commercial Details
The Customer requests, and CoreLogic agrees to supply, the Products described below on the terms set out in this Agreement and the General Terms and Conditions located at https://www.corelogic.com.au/legals/terms-conditions in effect as at the Commencement Date (the General Terms and Conditions).
If there is any inconsistency between this Agreement and the General Terms and Conditions (together the Licence), this Agreement shall take precedence to the extent of any inconsistency.
- Description of CoreLogic Services
- CoreLogic's Plezzel Digital Advertising Products (Plezzel Products) incorporate paid ads on Facebook, Instagram and Google Display (Ads). The Plezzel Products comprising of one or more campaigns which target a specific audience in order to foster enquiries (Campaigns). Depending on the Plezzel Product selected, Campaigns can run for a duration of 7 days to promote a single listing, up to continuous months of promoting multiple properties (Campaign Duration).
- Plezzel Packages include sophisticated targeting solutions that identify local homeowners, buyers, and investors through targeting first-party data audiences and retargeting from enquiries obtained from the listing office's website, appraisal requests, and using specific Facebook parameters. Targeting includes but is not limited to identifying the most relevant geo radius, intent data, and look-alike profiles.
- Your ads are designed to click through to a destination web page which can be customised depending on the Plezzel Product selected. Ideally the ads are designed link back to the property listing page or your own appraisal request page to help generate your real-time leads.
- The results achieved will vary per campaign depending on but are not limited to budget, Campaign Creative, Campaign Duration, the population density within the targeting criteria, local brand awareness, digital uptake in the area, and market conditions. All Campaigns are continuously monitored and updated to ensure that your Ads get maximum exposure to enhance the Return on Investment (ROI) of your Ad spend. To help monitor the effectiveness of the Campaigns, all Campaigns include a mid and end-of-campaign report so you can assess the results and the ROI.
- Digital Marketing Services
- CoreLogic will provide customised digital advertising services and media template designs (based on the Customer's Style Guide and Advertising Material) that will be used in the Campaigns for the Customer.
- CoreLogic will make the following Digital Marketing Services Options available to the Customer for purchase through the Plezzel Portal:
- Manual Digital Marketing Services;
- Automated Digital Marketing Services.
- The Customer will, on set up or as otherwise required during the Agreement term, advise CoreLogic which Digital Marketing Service Option it wishes to use in relation to clause 2.2.
- Where the Customer has selected the Automated Digital Marketing Services option, the Customer will provide to CoreLogic the Customer's selected Default Campaign Types as listed in clause 2.5.
- Upon commencement, where the Customer has selected the Manual Digital Marketing Services Option, the Customer may order, via the Plezzel Platform, the following Digital Marketing Services Campaign Types:
(a) Standard Campaign Types (one to apply for every listing):
- Essential;
- Burst
- Engager
- Extender
- Lead Extender
- Lead Generator
- Engagement Generator
- Traffic Generator
(b) Ad-Extensions Campaign Types (any to apply for every listing):
(i) Residential Sales:
- Just Listed;
- Just Sold (Residential Sales);
- Open Home Invite;
- Auction Reminder
(ii) Residential Property Management:
- Just Listed
- Open Home Invite;
- Just Leased;
- The Customer acknowledges and agrees that CoreLogic may from time to time change the Automated Digital Marketing Services and the Manual Digital Marketing Services available within the Plezzel Platform. The Customer will be notified of such changes (if any) in the Plezzel Platform.
- Customer Materials
- In this Agreement Customer Materials means any and all documents, information, content or other materials provided or supplied to CoreLogic by the Customer under or in connection with this Product Schedule, including without limitation, the Customer's:
(a) Style Guide as described in clause 4 below;
(b) Advertising Material as described in clause 5 below; and
(c) Property Feed as described in clause 6 below;
(d) Digital Campaign Content as described in clause 7 below; and
(e) Buyer/TenantEnquiries (if applicable).
- Style Guide
- The Customer will provide to CoreLogic, if it hasn't already done so, the Customer's Style Guide for the purposes of branding Digital Ads and Campaigns. The Style Guide includes but is not limited to logos, branding colours and fonts.
- In this Agreement Style Guide means a key document or other material providing a template (and associated guidelines, as applicable) for how the Customer's brand is to be presented in Campaigns and associated advertising material (including from a graphic and linguistic perspective).
- Advertising Material
- The Customer will provide to CoreLogic, if it hasn't already done so, the Customer's Advertising Material for the purposes of creating Digital Ads and campaigns and setting the campaign to go live. Advertising Material includes but is not limited to campaign plans, schedules, digital infrastructure such as cookies, URL links and other items needed to launch the campaign.
- Property Feed
- The Customer will provide to CoreLogic, if it hasn't already done so, access to the Customer's Property Feed for the purposes of transferring listings data between the Customer's website/customer relationship management system (CRM) and selected multiple listing services and real estate platforms to update the Customer's active listings as properties come on or off the market.
- Digital Campaign Content
- The Customer will provide to CoreLogic, if it hasn't already done so, the Customer's Digital Campaign Content for the purposes of creating Digital Ads and campaigns. Digital Campaign Content includes but is not limited to key messages, copy, imagery, videos and other assets which will be presented to the audience via a digital ad.
- Buyer/Tenant Enquiries
- The Customer will provide to CoreLogic, if it hasn't already done so, the Customer's Buyer/Tenant Enquiries for the purposes of follow up and lead enquiry. Buyer/Tenant Enquires come from the audience who view the Digital Ads and submit their contact details for the Customer to contact about the subject matter featured in a Digital Ad.
- Advertising Platforms
- The Customer will provide to CoreLogic, if it hasn't already done so, access to the Customer's selected Advertising Platforms for the purposes of Digital Ad setup and management. This includes, but is not limited to:
(a) Facebook page administration access; and
(b) domain verification if publish to timeline is requested.
- Provision of Customer Materials and Licence
- During the Term, as required from time to time, the Customer will provide to CoreLogic the necessary Customer Materials reasonably required to:
(a) comply with the Customer's obligations in this Agreement;
(b) facilitate the provision of the CoreLogic Services by CoreLogic; and
(c) otherwise facilitate the performance by the Parties of their respective obligations under this Agreement.
- For the purposes of this Agreement:
(a) clause A7.1 of the Online Terms and Conditions applies only to the Customer's Property Feed; and
(b) for all other Customer Materials clause A7.1 from the Online Terms and Conditions is deleted and replaced with clause 10.3 below.
- To the extent such the Customer Materials are provided to CoreLogic, for the purposes of this clause 3 above, the Customer grants CoreLogic a non-exclusive, royalty free, non-transferable, revocable license to use the Customer Materials for the duration of the Term to allow CoreLogic to:
- During the Term, as required from time to time, the Customer will provide to CoreLogic the necessary Customer Materials reasonably required to:
(a) provide the CoreLogic Services in accordance with the terms set out in this Agreement; and
(b) otherwise comply with its respective obligations in this Agreement.
- Customer Warranties
- The Customer represents and warrants it will not cause or do anything that is likely to cause, damage to CoreLogic's goodwill, brand, reputation or bring CoreLogic Services into disrepute.
- Fees
- The Customer agrees to pay any one-off Set-Up Fee (if any) as described on the Digital Ad Order Form, when ordering a specific Digital Ad, from within the Plezzel Portal. This Fee is paid in advance before any set up work is started.
- Monthly Subscription Fees
- The Customer agrees to pay CoreLogic the monthly subscription fees (if any), as described in the Digital Ad Order Form, when ordering a specific Digital Ad Order Form, when ordering a specific Digital Ad, from within the Plezzel Portal.
- Digital Ad Fees
- In consideration for the provision of Campaigns and Digital Ads, the Customer agrees to pay CoreLogic the following Fees per Digital Ad as described below.
- The below Fees are current at the time of signing this Agreement. CoreLogic may change these Fees by giving the Customer written notice of at least 30 days, such change to take effect at the end of that notice period.
- Residential Sales - Standard Digital Marketing Digital Ads:
The Customer agrees to pay the following fees for each type of Residential Sales Digital Ad type:
(a) Essential: $249 (incl GST);
(b) Burst: $399 (incl GST);
(c) Engager: $599 (incl GST);
(d) Extender: $849 (incl GST); and
(e) Lead Extender: $849 (incl GST); and
(f) Lead Generator: $1,049 (incl GST); and
(g) Engagement Generator: $1049 (incl GST); and
(h) Traffic Generator: $1,049 (incl GST).
- Residential Sales – Digital Ad-Extensions:
The Customer agrees to pay the following fees for each type of Digital Ad-Extension for the Residential Sales Digital Ad type:
(a) Just Listed (Residential Sales): $149 (incl GST);
(b) Just Sold (Residential Sales): $149 (incl GST);
(c) Open Home Invite: $149 (incl GST); and
(d) Auction Reminder: $149 (incl GST).
- Residential Property Management - Standard Digital Marketing Digital Ads:
The Customer agrees to pay following fees for each type of Residential Property Management Digital Ad:
(a) Essential: $249 (incl GST);
(b) Burst: $399 (incl GST);
(c) Engager: $599 (incl GST);
- Residential Ad-Extensions Digital Ads (Residential Property Management):
The following fees are listed below for each type of Ad-Extension for Residential Property Management Digital Ad type:
(a) Just Listed (Residential Property Management): $149 (incl GST);
(b) Open Home Invite (Residential Property Management): $149 (incl GST); and
(c) Just Leased (Residential Property Management): $149 (incl GST);
- Bespoke Digital Marketing Deliverables
Due to the custom nature of the Bespoke Digital Marketing Deliverables, the Customer acknowledges and agrees that these deliverables are quoted upon request.
- Additional Fees
- Cancellation Fees: Where a Cancellation Event occurs, the Customer agrees to pay the following Cancellation Fees (charged in accordance with the conditions of this Agreement):
(a) Digital Ad Cancellation Fee:
(i) Essential: $50.00 (ex GST)
(ii) Burst: $50.00 (ex GST)
(iii) Engager: $50.00 (ex GST)
(iv) Extender: $75.00 (ex GST)
(v) Lead Extender: $100.00 (ex GST)
(vi) Lead Generator: $100.00 (ex GST)
(vii) Traffic Generator: $100.00 (ex GST)
(viii) Bespoke Digital Ad: as quoted
(ix) Ad Extensions: $50.00 (ex GST)
(b) DMS Expenses:
DMS Expenses (including third party expenses) reasonably incurred up to and including the date of a Cancellation Request (where applicable).
- Variation Fees: Payable in accordance with clause 4.1 of the Special Conditions in Item 10 of this Product Schedule.
- Payment Terms:
- The Customer must within seven (7) days from the date of CoreLogic's tax invoice pay the:
- Cancellation Fees: Where a Cancellation Event occurs, the Customer agrees to pay the following Cancellation Fees (charged in accordance with the conditions of this Agreement):
(a) Setup Fees;
(b) Product Fees and any Additional Fees as applicable; and
(c) Digital Ad Fees (which will be invoiced monthly in arrears).
- Where payment is made by Direct Debit, Visa, Mastercard and Amex, a surcharge or other transaction fees may apply (as itemised in the invoice).
- Fee Review
- The Customer acknowledges and agrees that CoreLogic may increase the Fees annually on or after the anniversary of the Commencement Date of this Agreement by providing the Customer with thirty (30) days written notice of the fee increase.
- Advertising Material and Distribution Rights
- Where in CoreLogic's reasonable opinion the Advertising Material supplied by the Customer, would be contrary to another party's rights, corporate policies, or any applicable laws, then CoreLogic, acting reasonably, may:
(a) refuse to distribute or publish any or all Advertising Material supplied by the Customer;
(b) refuse any requests or variations sought by the Customer to vary any or all agreed Advertising Material; and
(c) make the final decision in respect of the promotion and marketing of the Advertising Material on the Advertising Platforms or otherwise in respect of the provision of the CoreLogic Services.
- Digital Marketing Services Requests:
- Submitting a Digital Marketing Services Request:
(a) Manual Digital Marketing Services Option:
(i) Where the Customer has elected to utilise the Manual Digital Marketing Services Option, a request for a Standard Digital Marketing Digital Ad will be submitted where a request for a Digital Ad is lodged by the Customer through the Plezzel Platform in accordance with the order form (Manual Request).
(ii) Upon of receipt by CoreLogic of the Manual Request, CoreLogic will:
(A) in respect of a Manual Request for a Standard Digital Marketing Digital Ads, use best efforts to deliver the campaign by the estimated start date (Campaign Start Date) if a Campaign Start Date is provided by the Customer, for the Digital Ads to go live (Campaign) upon the Manual Request being submitted. Otherwise, if no Campaign Start Date is provided by the Customer, CoreLogic will deliver the Campaign as soon as reasonably practicable;
(B) in respect of a Manual Request for Bespoke Digital Marketing Digital Ads:
(1) propose an estimated Campaign Start Date for the Campaign upon the Manual Request being submitted;
(2) prepare a proposed Campaign outline (Proposed Campaign) to be submitted to the Customer for approval; and
(3) make any reasonably requested amendments as requested by the Customer to the Proposed Campaign and resubmit the Proposed Campaign to the Customer for approval;
(C) in respect of a Manual Request for either Standard Digital Marketing Digital Ads or Bespoke Digital Marketing Digital Ads:
(1) use commercially reasonably endeavours to action the Manual Request (by making the Campaign go live) by the estimated Campaign Start Date; and
(2) email the Customer as soon as reasonably practicable once the Campaign is live.
(iii) Where CoreLogic does not receive confirmation from the Customer approving a Proposed Campaign in accordance with clause 3.2(a)(ii)(B)(2) within three (3) Business Days of CoreLogic submitting to the Customer the Proposed Campaign for approval (including any amendments requested by the Customer in accordance with this clause 19), CoreLogic will proceed with the Proposed Campaign on the assumption that it has been accepted.
(b) Automated Digital Marketing Services Option:
(i) Where the Customer has informed CoreLogic that the Customer wish to put in place the Automated Digital Marketing Services Option and listed the product(s) for automated ordering as per clauses 2.4 and 2.5, and these instructions are complete and have been agreed to by CoreLogic:
(A) a request for a Digital Ad will automatically be created where information pertaining to a new property is provided to CoreLogic (including through the Property Feed) (Default Request); and
(B) following the creation of a Default Request, a Campaign will automatically be created and go live,
(Automated Request).
(ii) An Automated Request will be automatically fulfilled based on:
(A) information pertaining to the relevant property provided to us; and
(B) the Default Digital Ad(s) advised by the Customer as per the requirements set out in the Agreement. Where no Default Digital Ad(s) has been provided, the Automated Request will not be fulfilled, and a Campaign will not be published unless a Manual Request is made.
- Cancelling a Digital Marketing Services Request:
- Submitting a Digital Marketing Services Request:
(c) Manual Digital Marketing Services Option:
(i) Where a Manual Request for a Standard Digital Marketing Digital Ad has been made, the Customer may request the cancellation of the Manual Request (Cancellation Request) by sending CoreLogic an email confirming the Manual Request is to be cancelled (Cancellation Email):
(A) no later than one (1) Business Day prior to the Campaign Start Date, and no work has commenced, in which case no Cancellation Fee will apply; or
(B) at any time after the Campaign Start Date, in which case:
(1) CoreLogic will use reasonable endeavours to remove the Campaign from all applicable platforms as soon as reasonably possible, but in either event within one (1) Business Day; and
(2) a Digital Ads Cancellation Fee will apply to cover the work CoreLogic has undertaken to prepare the Digital Ad, in accordance with the fees set out in clause 15.1 of the Agreement.
(ii) Where a Manual Request for a Bespoke Digital Marketing Digital Ad has been made, the Customer may make a Cancellation Request by submitting a Cancellation Form or a Cancellation Email:
(A) no later than one (1) Business Day prior to the Campaign Start Date, and no work has commenced, in which case:
(1) no Cancellation Fee will apply; but
(2) CoreLogic will be entitled to charge the Customer for any reasonable costs and expenses incurred by CoreLogic (in respect to time and resources spent on the Digital Marketing Services Request) up to and including the date of the Cancellation Request (DMS Expense);
(B) at any time after the Campaign Start Date, in which case:
(1) CoreLogic will use reasonable endeavours to remove the Campaign from all applicable platforms as soon as reasonably possible, but in either event within one (1) Business Day;
(2) a Digital Ads Cancellation Fee will apply to cover the work CoreLogic has undertaken to prepare the Digital Ad in accordance with the fees set out in clause 15.1 of the Agreement; and
(3) CoreLogic will be entitled to charge the Customer for any reasonable DMS Expenses and Ad Spend, incurred up to and including the date of the Cancellation Request.
(d) Automated Digital Marketing Services Option:
In respect of an Automated Request, a Cancellation Request can be made by:
(i) selecting the recall option available through the Plezzel Platform (Recall Request) by no later than one (1) Business Day prior to the Campaign Start Date, in which case no Cancellation Fee will apply; or
(ii) by lodging a sending a Cancellation Email at any time after the Campaign Start Date, in which case, the terms set out in clause 3.2(a)(ii)(B) will apply.
- Campaign Variations
- Variation Requests: Where a variation or change to an existing Campaign is requested (Variation Request):
(e) the Customer must provide to CoreLogic, by written notice, at least one (1) days' prior to the date on which the variation is to come into effect, details of the Variation Request (Variation Notice);
(f) within three (3) Business Days of receipt of the Variation Notice, CoreLogic will:
(i) accept or deny the Variation Request (as our sole discretion, with acceptance not to be unreasonably withheld); and
(ii) where the Variation Request is accepted, provide the Customer with an overview of:
(A) the fees payable (if any) for CoreLogic to undertake the Variation Request (Variation Fee); and
(B) any additional terms and conditions (including any reasonable variations to this Agreement and/or any other terms previously agreed to) that may apply in respect of the Variation Request (if any),
(Proposed Variation Terms);
(iii) within three (3) Business Days of receipt of the Proposed Variation Terms, the Customer must confirm to CoreLogic, by written notice, whether the Customer wish to proceed with the Variation Request in accordance with the Proposed Variation Terms (Variation Confirmation).
- Variations to live Campaigns: Where a Variation Request is made for a variation to a live Campaign, CoreLogic may, at our sole discretion, elect to accept and proceed with the Variation Request without proposing any additional Proposed Variation Terms, in which case CoreLogic will notify the Customer once the Variation Request has been actioned and the requested variation has been made to the Campaign.
- CoreLogic's Obligations: CoreLogic will not be obligated to comply with a Variation Request unless it:
- Variation Requests: Where a variation or change to an existing Campaign is requested (Variation Request):
(a) accepts the Variation Request; and
(b) the Customer has confirmed, in writing, that the Customer accept the Proposed Variation Terms (if any).
- Payment of Variation Fee: For the avoidance of doubt, upon receipt of a Variation Confirmation by CoreLogic, the Customer acknowledges and agrees that the Customer will be liable for payment of any applicable Variation Fee set out in this Agreement, in writing.
- Unforeseen Event: Where an event occurs that was unforeseen by either Party that results in a necessary variation to this Product Schedule:
(c) CoreLogic will, as soon as reasonably practicable, provide the Customer with an Unforeseen Event Variation (UEV) of any necessary variations to this Agreement (including any reasonable additional costs and expenses estimated to apply in order for CoreLogic to continue to deliver the CoreLogic services;
(d) within three (3) Business Days of receipt of the UEV, the Customer will confirm to CoreLogic, by written notice, whether the Customer has elected to proceed with the UEV; and
(e) where the Customer elects not to proceed with the UEV:
(i) CoreLogic will cease any further work on any Variation Request as soon as reasonably practicable; and
(ii) the Customer acknowledges and agrees that the Customer will be liable for payment of any reasonable costs and expenses suffered or incurred by CoreLogic in relation to the Variation Request as a result of the Unforeseen Event.
Definitions
In this Product Schedule:
Active Agent means a real estate agent that is listed on an active listing.
Advertising Material means any media materials (including advertising, promotional and publicity materials, listings information, photographs and other related or supporting materials provided by the Customer to CoreLogic under or in connection with this Product Schedule or any other material that is otherwise developed or prepared by the Parties (including material produced by CoreLogic in the course of providing the CoreLogic Services) that is produced for display and advertisement on the Advertising Platforms for the purpose of promoting the Customer's real estate business under or in connection with the CoreLogic Services.
Advertising Platform means a platform on which a Campaign is published/advertised as specified in this Product Schedule.
Ad Spend means the amount of money spent on a specific campaign on such platforms as but not limited to, Facebook and Google Ads.
Automated Marketing Services Option means CoreLogic's services option for automatic requests for and delivery of Digital Ads.
Campaign means where a Digital Ad is live on the Customer's selected Advertising Platforms.
Campaign Creative means text copy, images, video and/or other graphical elements published as content for the Digital Ad.
Campaign Start Date has the meaning set out in clause 3.1(a)(ii)(A) of Item 10.
Cancellation Fee means the fees set out in clause 4.2 of Item 8 of the Product Schedule.
Cancellation Form has the meaning set out in clause 3.2(a) of Item 10.
Commencement Date means the date CoreLogic accepts the order for the Digital Ad placed by the Customer through the Plezzel Portal.
Customer Materials means any and all documents, information, content or other materials provided or supplied to CoreLogic by the Customer under or in connection with these Special Terms, including without limitation, the Customer's:
(a) Style Guide;
(b) Marketing System;
(c) Advertising Material; and
(d) Property Feed.
Default Digital Ad means, in respect of the Automated Marketing Services Option, a Digital Ad selected by the Customer to be a default Digital Ad as specified in the Product Schedule.
Digital Ad means a Digital Marketing Services Digital Ad as specified in this Product Schedule.
Digital Marketing Digital Ads means Standard Digital Marketing Digital Ads and Bespoke Digital Marketing Digital Ads.
Digital Marketing Services Request means a request by the Customer for Digital Marketing Services as further specified in clause 3 of Item 10.
Digital Marketing Services Options means the Manual Digital Marketing Services Option and the Automated Digital Marketing Services Option.
DMS Expenses has the meaning set out inclause 3.2(a)(ii)(A)(2) above of Item 10.
Expenses means any pre-approved fees, expenses or other disbursements, including (but not limited to) travel and accommodation costs and any applicable third party costs reasonably and directly incurred by CoreLogic for the purpose of the provision of the Digital Ads.
Manual Digital Marketing Services Option means CoreLogic's services option for manual requests for Digital Ads.
Marketing System means customer's system, including but not limited to Campaign Track, RealHub, RedHQ, AdvendaPRO, to order marketing materials for a property listing campaign (which includes Digital Marketing Deliverables).
Plezzel Platform means CoreLogic's client facing platform where clients and customers of CoreLogic can gain access to and order CoreLogic Services (Plezzel) and Digital Ads.
Proposed Campaign means the proposed design for a Bespoke Digital Marketing Digital Ad as further specified in clause 3.1(a) of Item 10.
Online Terms and Conditions means CoreLogic's online terms and conditions found herehttps://www.corelogic.com.au/legals/terms-conditions.
Standard Digital Marketing Digital Ad means a Digital Ad listed as a "Standard Digital Marketing Digital Ad" in Annexure B to the Product Schedule.
Variation Request is defined in clause 4 of Item 10.
Unforeseen Event Variation (UEV) means a notification given in writing by CoreLogic to the Customer, which outlines any necessary variations to this Product Schedule (including any reasonable additional costs and expenses estimated to apply) which have resulted from an unforeseen event, in order for CoreLogic to continue to deliver the CoreLogic services.
- Execution of Agreement by the Customer
- By checking the box, entering your details below and completing and submitting the order of this service through the Plezzel Platform, the Customer agrees to be bound by the General Terms and Conditions located at https://www.corelogic.com.au/legals/terms-conditions in force as at the Effective Date and this Agreement.
- I warrant that I am authorised to act on behalf of the Customer and agree to the terms of this Licence. I also acknowledge that any use of the Products or Product Data by the Customer or its employees or agents under any identification numbers or passwords issued by CoreLogic is subject to and further evidences acceptance of the License.
